What is the goal of the position
This role is a critical component of the company's operations in the dynamic renewable energy sector.
The Head of the Legal Department will be responsible for ensuring that the company operates in accordance with the law, minimizes risks, and achieves its sustainable development goals.
Your scope of responsibility
1. Legal support for companies from a corporate and commercial perspective.
2. Preparation of drafts of project assignment agreements between companies.
3. Preparation of drafts of share sale agreements.
4. Updating company data in the National Court Register (KRS).
5. Filing financial reports with the National Court Register (KRS).
6. Preparation of power of attorney drafts, management of powers of attorney, obtaining signatures from the Management Board.
7. Participation in negotiations of ISAs (Inter-System Agreements) with external entities.
8. Preparation of analyses, tables, responses to queries from external entities within the conducted due diligence of ISAs projects.
9. Participation in due diligence of projects from the market.
10. Analysis and review of agreements within the scope of organizational activities.
11. Legal assistance in HR-related matters.
12. Legal assistance in matters raised by the Finance and Accounting Department.
13. Collaboration with external law firms.
14. Providing ongoing legal advice to employees within the scope of the Group's core activities, with particular emphasis on project development and ongoing administrative proceedings.
15. Preparation or review of drafts of documents during administrative proceedings (company statements, declarations, responses to requests for formal deficiencies).
16. Drafting appeals against administrative decisions.
17. Preparation of complaints against provisions during administrative proceedings.
18. Review of lease agreement drafts, participation in negotiations for changes to agreements with owners or their representatives.
19. Preparation and updating of lease agreement templates, preliminary lease agreements, annexes, agreements, terminations, and statements of owners for lease agreements.
20. Verification of projects concerning the Agricultural System Formation Act and owners' applications to the Agricultural Property Agency for permission to transfer ownership before 5 years from acquisition.
21. Reviewing drafts of lease agreement annexes.
22. Verifying drafts of agreements resolving lease agreements.
23. Checking termination drafts for lease agreements.
24. Assessment of the justifiability of lease agreement terminations submitted by property owners.
25. Review or preparation of correspondence with property owners.
26. Participation in negotiations of lease agreements and annexes.
27. Review of projects concerning establishment of transmission easements.
28. Checking projects of agreements for connection to the power grid and their compliance with connection conditions in terms of formal and legal aspects (excluding Technical Designs)
29. Verification of annexes to concluded connection agreements.
Your profile & competences
1. Legal education.
2. Prior experience working in a legal department.
3. Knowledge of renewable energy and energy sector regulations would be a plus.
4. Team management skills, excellent communication, and negotiation abilities.
5. Understanding of business aspects and the ability to align legal strategies with company objectives.
6. Self-discipline, attention to detail, and the ability to work under tight deadlines.
7. Excellent command of the English.
